Terms of Service

These terms are an agreement between you and Semfora, Inc., an Ohio corporation ("Semfora", "we", "us"). By creating an account or using semfora.ai or the Semfora service, you accept them. If you use Semfora on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes it.

Semfora is a cloud service that analyzes source code repositories you connect and produces structural metrics, dashboards, CI checks, and AI-assisted insights. How we handle your code and data is described in our privacy policy, which is part of these terms.

Parts of the service are in active development. Features labeled beta, preview, or experimental are provided as-is, may change or be withdrawn without notice, and shouldn't be your only line of defense: analysis findings are a signal, not a guarantee that code is safe, correct, or complete.

You need an account to use the service; authentication is handled by our identity provider. Keep your credentials secure — you are responsible for activity under your account. Access to some or all of the service may be invitation-gated while we operate in a limited-availability period.

You retain all rights to code you analyze with Semfora. You grant us a limited license to access, clone, and process your repositories solely to provide the service: running the analyses you or your configuration request, generating metrics and AI outputs for you, and operating the integrations you connect. Copies made for analysis are deleted when each run completes, and what we retain afterward is described in the privacy policy.

Analysis results and AI outputs we generate about your code are yours to use. We claim no ownership over them, and we do not use your code to train AI models.

You are responsible for making sure you have the right to analyze any repository you connect — connect only code you own or are authorized to analyze.

Paid plans are billed per seat through our billing provider at the prices shown on our pricing page. Subscriptions renew automatically at the end of each billing period until canceled.

You can cancel at any time from your billing settings. Cancellation stops future renewals; your plan stays active through the end of the period you've already paid for. Fees are non-refundable except where the law requires otherwise.

If we change a plan's price, we'll notify you in advance and the change takes effect at your next renewal, so you can cancel first if you don't accept it.

Plans include usage allowances — analysis compute, run counts, and an AI budget per billing cycle. When an allowance is used up, the corresponding feature pauses until the next cycle begins or an organization admin adds a boost. The free tier has fixed allowances and is provided for evaluation.

Organization plans bill full seats (owner, admin, billing, and member roles). Viewer seats are free, unlimited, and read-only. Actions that incur cost — running analyses, invoking AI features — require a full seat.

AI-generated content — summaries, audits, diagnoses, chat responses — can be wrong, incomplete, or misleading. Review it before relying on it; it is not professional advice. Users and organizations can disable AI features entirely in settings, and what AI features process is described in the privacy policy.

Don't analyze code you aren't authorized to analyze. Don't reverse engineer, resell, or redistribute the service without our written permission. Don't circumvent usage limits, seat requirements, or access controls. Don't use the service to break the law, and don't subject it to abusive load or automated scraping outside documented interfaces.

Semfora, the analysis engine, the site, and their content are owned by us or our licensors. Your subscription grants you a limited, revocable, non-transferable license to use the service while your account is in good standing. If you send us feedback or suggestions, we may use them without obligation to you.

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Security and quality findings are heuristic: they can miss real issues and flag non-issues, and they are not a certification of your code.

To the maximum extent allowed by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the service is limited to the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars. These limits don't apply where the law doesn't allow them to be limited.

You will defend and indemnify Semfora against claims arising from code you connected without authorization, your violation of these terms, or your violation of law in using the service.

You can stop using the service at any time: disconnect your repositories, cancel your subscription, and request account deletion as described in the privacy policy. We may suspend or terminate your access for a material violation of these terms or for non-payment, with notice where practicable. Sections that by their nature should survive termination (your code ownership, disclaimers, liability limits, governing law) survive.

These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. The state and federal courts located in Franklin County, Ohio have exclusive jurisdiction over disputes arising from these terms or the service, and both parties consent to venue there.

We may update these terms as the product evolves. Material changes will be posted here with a new effective date before they take effect, and we'll notify account holders by email. Continued use of the service after a change takes effect constitutes acceptance.
